1. Agreement to Terms

Welcome to NEXTRIXLAB (NEXTRIXLAB), owned and operated by NEXTRIXLAB (PVT) LTD ("we", "us", or "our"), incorporated in Sri Lanka.

These Terms and Conditions govern your access to and use of our website, digital template purchases, customization services, and bespoke development contracts. By accessing, browsing, or purchasing from our platform, you acknowledge that you have read, understood, and agreed to be legally bound by these terms. If you do not agree with any part of these terms, please do not use our platform or purchase our digital products.

2. Use of the Website & Eligibility

• Age Eligibility: You must be at least 18 years of age or possess legal authorization as a registered corporate business representative to place orders or enter into service agreements on our platform.
• Account & Data Confidentiality: You are responsible for safeguarding any credentials, invoice links, or private download tokens issued to you.
• Accurate Information: You agree to provide true, accurate, current, and complete details regarding your name, email, telephone number, and billing location during checkout or inquiry submission.
• Lawful Use: You may not use our website, services, or licensed source code for any unlawful, fraudulent, defamatory, or abusive purposes, nor attempt to breach our security infrastructure.

3. Product Information, Pricing & Currency

• Product Descriptions: We strive to provide accurate, transparent descriptions, interactive live previews, and technology stack specifications for all website templates and software solutions.
• Currency & Taxes: All prices listed on NEXTRIXLAB are denominated in Sri Lankan Rupees (LKR) unless explicitly stated otherwise.
• Price Modifications: Prices for our digital templates and services are subject to change without prior notice. Special promotions or discount promo codes are valid only during their stated active periods.

4. Orders, Billing & Payment Gateways

Placing an order constitutes an offer to purchase the selected digital template or service. We reserve the right to decline or cancel orders suspected of fraudulent activity or unauthorized payment attempts:

• PayHere Online Gateway: We utilize PayHere, an authorized payment facilitator licensed by the Central Bank of Sri Lanka, to process Visa, MasterCard, American Express, Genie, eZ Cash, and mCash transactions securely. We do not store your complete card credentials on our servers.
• Direct Local Bank Transfer: Payments can be deposited directly into our official corporate accounts at Bank of Ceylon (BOC) or Commercial Bank of Ceylon. Customers must upload the transfer deposit slip or submit it via our dedicated WhatsApp channel with their Order ID.
• Official Invoices: An official invoice is automatically generated for every transaction, complete with a unique invoice number, tax identifiers, line items, and payment status verification.

5. Digital Delivery & Access

Digital templates and software products are delivered electronically via secured download entitlement tokens and email confirmations:

• PayHere Online Orders: Access credentials and source files are released instantly upon payment gateway confirmation.
• Bank Transfer Orders: Access credentials are released within 15 to 30 minutes following verification of the deposit slip by our billing desk.

6. Returns, Refunds & Cancellations

Our returns, cancellations, and defect policies are governed by our dedicated Refund & Cancellation Policy.

Because digital template source files are irrevocable once accessed, purchases of downloaded files are non-refundable, except in verified cases of technical defects that cannot be repaired within 48 hours or accidental duplicate billing.

7. Intellectual Property Rights & Licensing

All materials on this website — including templates, codebases, architectural patterns, visual designs, graphics, branding, and text — are protected by Sri Lankan and international copyright and intellectual property laws:

• Standard Commercial License: Grants you a non-exclusive, non-transferable license to deploy the purchased template for one (1) live client domain or commercial web property.
• Strict Prohibition on Redistribution: You may not resell, sublicense, repackage, lease, share publicly, or claim original authorship of NEXTRIXLAB template source code or components.

8. Limitation of Liability & Warranty Disclaimers

• Our software products are delivered on an "as-is" and "as-available" basis, accompanied by our 30-day technical defect guarantee.
• To the maximum extent permitted under Sri Lankan law, NEXTRIXLAB (PVT) LTD, its directors, employees, or contractors shall not be liable for any indirect, incidental, special, or consequential damages (including loss of business profits or data interruption) arising out of the use or inability to use our templates or website.
• Our aggregate financial liability for any claim shall under no circumstance exceed the total amount paid by the customer for the specific product or service giving rise to the dispute.

9. Governing Law & Jurisdiction

These Terms and Conditions and any disputes arising out of or related to our platform, transactions, or contracts shall be governed by, construed, and enforced in accordance with the substantive laws of the Democratic Socialist Republic of Sri Lanka.

The parties agree to submit to the exclusive jurisdiction of the competent courts of Colombo, Sri Lanka, for the resolution of any legal proceedings.
